75. Intellectual Property
All intellectual property associated with the services, including software, websites, branding, logos, documentation, educational materials, dashboards, APIs, risk models, and internal methodologies, remains the property of the applicable Company entity or its licensors. No rights are granted except the limited, revocable right to use the services in accordance with these Terms.
76. Confidential Information
Non-public information regarding internal risk systems, fraud controls, compliance procedures, proprietary platform architecture, confidential communications, and business operations may not be improperly disclosed or misused. This obligation survives termination to the extent permitted by law.
77. Public Statements and Fair Reviews
Traders must not knowingly publish false statements of fact about the Company or fabricate evidence. Nothing in these Terms prevents honest opinions, truthful reviews, lawful complaints, whistleblowing, or the exercise of non-waivable consumer or legal rights.
78. Third-Party Services
The Company may rely on third-party trading platforms, payment processors, identity-verification providers, market-data vendors, cloud infrastructure, cybersecurity vendors, and analytics providers. Availability and performance may therefore be affected by third parties beyond the Company’s reasonable control.
79. Stocks Trading Risk Disclosure
Stocks and equities trading strategies involve substantial risk, including market volatility, liquidity risk, trading halts, gap risk, earnings-event risk, corporate actions, pre-market and after-hours liquidity constraints, and execution uncertainty. Simulated performance does not guarantee future results in live markets. Program results, “Average Payout” figures, educational content, or dashboards are not financial advice and do not represent expected future income.
80. CFDs and Virtual Currency Disclosure
Where the NYS Markets website or related services separately contain information concerning CFDs with a virtual currency pair as the underlying asset, those products are complex, extremely risky, and highly speculative. This general disclosure does not convert the Stocks Programs governed by these Terms into CFD, brokerage, or live-investment services. The Stocks Programs remain simulated unless the Company separately agrees otherwise in writing.
81. Limitation of Liability
To the fullest extent permitted by applicable law, the Company shall not be liable for lost profits, lost business opportunity, indirect, incidental, special, exemplary, punitive, or consequential damages; technical interruptions; exchange or market-data outages; connectivity failures; market volatility; simulated execution differences; or third-party system failures. Subject to non-waivable legal rights, the Company’s aggregate liability arising from a specific Program shall not exceed the fees actually paid by the Trader for that specific Program giving rise to the claim.
82. Indemnification
To the extent permitted by law, the Trader agrees to indemnify and hold harmless the Company, its directors, officers, employees, contractors, affiliates, and service providers from third-party claims, losses, liabilities, costs, or expenses arising from the Trader’s fraud, unlawful conduct, material violation of these Terms, or misuse of the services.
83. Force Majeure
The Company is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, sanctions, pandemics, internet or power outages, cyber incidents, exchange suspensions, market-data failures, or third-party infrastructure failures.
84. Compliance with Laws
The Trader is responsible for ensuring that participation is lawful in the jurisdiction from which the services are accessed. The Company makes no representation that every Program is available or lawful in every jurisdiction and may restrict access at any time.
85. Electronic Communications
The Trader consents to receiving agreements, notices, disclosures, Program updates, and other communications electronically. To the extent permitted by applicable law, electronic acceptance, account actions, and electronic records may evidence the Trader’s agreement and participation.
86. Assignment
The Company may assign or transfer its rights and obligations under these Terms to an affiliate, successor, purchaser of relevant business assets, or service entity, subject to applicable law. The Trader may not assign or transfer an Account or contractual rights without prior written consent.
87. Severability and Waiver
If any provision is held invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. Failure to enforce a provision on one occasion is not a waiver of that provision or any other right.
88. Entire Agreement
These Terms, together with the Privacy Policy, Risk Disclosures, Cookie Policy, Program Specifications, and any terms expressly incorporated at checkout, constitute the entire agreement regarding the relevant Program and supersede prior inconsistent representations concerning that Program.
89. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles, except to the extent mandatory law provides otherwise.
Before initiating formal proceedings, the parties agree to make reasonable good-faith efforts to resolve disputes directly. Nothing prevents either party from seeking urgent injunctive or equitable relief where legally available and necessary to protect confidential information, intellectual property, systems, or legal rights.
